Terms of Service

Effective July 24, 2026 · YourTime LLC, a Massachusetts limited liability company.

Welcome to YourTime LLC, these Terms of Service explain how the Services work, what you control, what YourTime LLC provides, and the rules that apply when you use YourTime LLC.

IMPORTANT NOTICE REGARDING ARBITRATION: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER. EXCEPT AS EXPRESSLY PROVIDED BELOW, YOU AND YOURTIME AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS.

1. Acceptance & Eligibility

These Terms of Service (the “Terms”) govern your access to and use of the services made available by YourTime LLC, a Massachusetts limited liability company (“YourTime,” “we,” “us” or “our”), including the YourTime website and app, and any related features, software, communications, support, payment integrations and services (collectively, the “Services”).

By accessing or using the Services, creating an account, connecting a Stripe account to YourTime, scheduling a meetup or otherwise using any feature of the Services, you agree to be bound by these Terms and by the policies and documents incorporated by reference, including our Privacy Policy. If you do not agree, you must not use the Services.

If you use the Services on behalf of a company, organization or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” includes that entity.

You must be at least 18 years old and able to form a binding contract. The Service is offered in the United States only. You confirm you are not barred from using the Service under applicable law and are not on any government sanctions or prohibited-party list.

2. Key Terms

Deposit — the value you choose for a Meetup, authorized as a hold on your payment card.
Hold — a Stripe authorization hold placed on your card for your Deposit prior to a Meetup; it is not a payment to YourTime and is released back to you if no Forfeit occurs.
Forfeit — the portion of a Deposit that may be captured by YourTime if you fail to meet the on-time attendance requirement, as set out in the in-app schedule.
Meetup — an agreed in-person meeting between two users at a chosen time and place with a Deposit placed on meeting.
Platform — the website and app where you interact with YourTime and other users.
Platform Fee — the portion of a Forfeit that YourTime retains for providing the Service, as set out in the in-app schedule.
Plus — the optional paid subscription described in Section 8.

3. What YourTime Is — and Is Not

YourTime is a commitment layer that helps two people follow through on a meeting they arrange with each other. YourTime is not a party to any Meetup, sale, exchange, or other dealing between users, and does not introduce, vet, or supervise users.

YourTime is not a bank, money transmitter, escrow agent, payment processor, broker, or insurer, and does not provide financial, legal, or safety services. All card processing and fund movement are performed by Stripe and its affiliates. A Deposit is an authorization hold on your own card, not a deposit with YourTime.

A Deposit is not a wager, and the Service is not gambling. A Deposit is a mutual commitment between two users: each of you agrees, in a binding bilateral commitment, that if you fail to meet the on-time attendance requirement you will owe the agreed amount as a pre-agreed contractual remedy for non-performance — not a bet on a chance event. You control your own attendance. YourTime is a neutral facilitator of that commitment and is not a counterparty to any Deposit. YourTime is solely the Platform.

4. Accounts

You create an account using a one-time passcode sent to your email, or with Sign in with Apple or Sign in with Google (where available). You agree to provide accurate information, keep it current, keep your credentials secure, and accept responsibility for activity under your account. One account per person. We may refuse, suspend, or reclaim usernames and accounts at our discretion.

5. Meetups & the Deposit Mechanic

When you create or accept a Meetup, you and the other user each authorize a hold (your Deposit) on your respective cards. The on-time attendance requirement, arrival window, check-in method, and the exact forfeit and fee amounts are presented to you in the app at the time you create or accept the Meetup (the “in-app schedule”), which is incorporated into these Terms by reference. In summary, and subject to that schedule:

If both users meet the on-time requirement, each Hold is released and no money changes hands.
If one user is late or does not show, that user forfeits some or all of their Deposit. After the Platform Fee, the remainder is paid to the user who showed up.
If a user cancels, the amount (if any) forfeited depends on how far in advance the cancellation occurs, per the in-app schedule.
If neither user meets the requirement, each forfeits a portion of their own Deposit to the Platform, with no payment between users, per the in-app schedule.

You authorize YourTime, through Stripe, to capture a Hold and to release a Hold, or to capture a Hold and to capture a Forfeit in accordance with the outcome of each Meetup and the in-app schedule. Exact percentages and floors are governed by the in-app schedule shown to you.

6. Fee & Forfeit Schedule

The Service is free to create and accept Meetups. All funds are accepted and processed on Stripe. YourTime earns the Platform Fee taken from Forfeits. The schedule below is the canonical summary; the exact figures are also shown to you in the app before you commit your Deposit and you will accept the exact figures prior to accepting the Meetup, and that in-app schedule governs if the two ever differ:

No-show, or leaving early: the full Deposit is forfeited.
Late arrival or late cancellation: a portion of the Deposit is forfeited on a sliding scale based on how late you are, or how close to the Meetup you cancel (see the in-app schedule).
Platform Fee on a one-sided Forfeit: YourTime keeps a percentage of the Deposit that is established in the in-app schedule, subject to a $1.50 minimum on a partial Forfeit; the user who showed receives the remainder of the Forfeit.
Both users at fault: each user forfeits a percentage of their own Deposit to YourTime (a smaller percentage if both are late, a higher percentage if both no-show), as established in the in-app schedule, with no payment between users.

We may change fees prospectively; material changes will be communicated as required by law and take effect for Meetups created after the change.

7. Payments, Stripe & Payouts

Card processing, Holds, captures, refunds, and payouts are handled by Stripe. By using the Service, you also agree to the Stripe Services Agreement (stripe.com/legal/ssa), and, if you receive payouts, the Stripe Connected Account Agreement (stripe.com/legal/connect-account) and Stripe’s Privacy Policy (stripe.com/privacy). You authorize YourTime and Stripe to take the payment actions described in these Terms and in the app.

To receive a payout, you must complete Stripe Connect onboarding (identity and bank details collected by Stripe). Until you do, an amount owed to you is held for you to claim. If a payout remains unclaimed after ninety days (90), it may be returned to the other user, as described in the app. You are responsible for any taxes on amounts you receive; Stripe may issue tax forms (such as a 1099-K) where required.

Do not initiate card chargebacks in place of the in-app dispute process. Improper chargebacks may result in suspension and collection of amounts owed.

8. YourTime Plus (Subscription)

Plus is an optional auto-renewing subscription purchased through your device’s app store (the Apple App Store or Google Play) that will automatically renew on a recurring monthly basis unless and until you cancel. Current price and billing period are shown in the app and on the store’s purchase screen at the time of purchase; payment is charged to your Apple ID or Google account at confirmation of purchase. By enrolling, you authorize the application store to charge your payment method on a recurring basis, at the then-current subscription rate, together with any applicable taxes and fees, without further authorization from you.

The subscription renews automatically unless cancelled before the end of the current billing period (for Apple, at least 24 hours before the period ends). You can manage or cancel in your Apple ID settings or in Google Play → Subscriptions; deleting the app does not cancel a subscription. Plus is billed by the app store, not by Stripe, and is also governed by Apple’s standard end-user license terms.

9. Identity Verification

You may optionally verify your identity through Stripe Identity. Verification can raise your Deposit limits and display a verification badge to other users. A badge indicates a completed identity check by Stripe; it is not a background check, endorsement, or guarantee of any user’s conduct, safety, or trustworthiness.

Identity verification involves a photo of your government ID and a selfie, processed by Stripe. This is optional. Where the law requires, we will obtain your separate consent before this biometric step begins, as described in the Privacy Policy.

All personal information submitted for identity verification is collected, processed, and maintained directly by Stripe in accordance with its own privacy policy and applicable law. YourTime does not receive, store, or have access to the underlying identity verification data, except for a confirmation status necessary to provide the Services. By using the Services, you acknowledge and agree that your information will be shared directly with Stripe for these purposes.

10. In-Person Meetups — Assumption of Risk & Safety

YourTime does not perform background checks and does not vet, endorse, or supervise users or the items or services they exchange. You meet other users entirely at your own risk. Meet in safe, public places; bring a friend; trust your judgment; and follow our in-app safety guidance.

You acknowledge that any in-person meeting, interaction, or engagement with other users or third parties arranged through or in connection with the Service is undertaken voluntarily and at your sole risk. You assume full responsibility for their conduct and safety in connection with any such meeting, including but not limited to risks of personal injury, property damage, or other harm.

You assume all risk arising from any Meetup or interaction with another user, and you release YourTime from any claims, demands, or damages arising out of or related to the conduct of users, any Meetup, any item or service exchanged, or any meeting or failure to meet. You are solely responsible for complying with all laws applicable to your dealings with other users.

11. Disputes Between Users

If users disagree about a Meetup outcome, the matter is handled through the in-app dispute process within the dispute window described in the app. YourTime may review available signals (such as check-in and presence information described in the Privacy Policy) and will make a reasonable, good-faith determination. YourTime’s determination of how held funds are allocated is final as between YourTime and the users, but does not resolve any independent legal claims users may have against each other. YourTime is not a guarantor of any outcome.

12. Prohibited Conduct

You agree not to:

defraud, deceive, harass, threaten, stalk, or harm another user;
collude or use multiple or fake accounts to manipulate outcomes or payouts (for example, paired accounts staged to capture Forfeits);
falsify your location, spoof GPS, or otherwise tamper with arrival or presence detection;
use the Service for any illegal goods, services, or activity, or to launder funds;
circumvent fees, caps, or security; scrape, reverse engineer, or disrupt the Service;
post or transmit content that is unlawful, harassing, or otherwise objectionable—we may remove content and act on reports; or
infringe others’ rights or violate applicable law.

13. Suspension, Termination & Account Deletion

We may suspend or terminate access, withhold an in-progress Forfeit pending review, or reverse amounts obtained through prohibited conduct, where we reasonably believe these Terms or the law have been violated, subject to the dispute process. You may delete your account in the app at any time. We may retain certain transaction and identity records after deletion as required by law (for example, anti-money-laundering and tax record-keeping), as described in the Privacy Policy; we delete or de-identify other personal data.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YourTime does not warrant that the Service will be uninterrupted, secure, or error-free, and is not responsible for the conduct of any user or the outcome of any Meetup.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YourTime WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. YourTime’s TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS ($100) OR (b) THE TOTAL FEES YOU PAID YourTime IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOURTIME WILL NOT BE LIABLE FOR: THIRD-PARTY PROVIDER ACTIONS OR OMISSIONS; FRAUD BY OTHER USERS; OR YOUR FAILURE TO PROTECT YOUR CREDENTIALS, DEVICES, OR BACKUPS.

16. Indemnification

You agree to indemnify and hold harmless YourTime and its members, officers, and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your Meetups or dealings with other users, your content, or your violation of these Terms or applicable law.

17. Dispute Resolution — Arbitration & Class-Action Waiver

Please read this section carefully. Except for the carve-outs below, you and YourTime agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding individual arbitration, administered by the American Arbitration Association under its applicable consumer rules, seated in Massachusetts. You and YourTime waive the right to a jury trial and the right to participate in a class, collective, or representative action. Arbitration will proceed on an individual basis only.

Carve-outs: either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access matters.

Opt-out: you may opt out of this arbitration agreement by sending notice to legal@getyourtime.app within thirty (30) days of first accepting these Terms; opting out does not affect the other provisions.

18. Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. Subject to Section 17, the state and federal courts located in Massachusetts have exclusive jurisdiction over any matter not subject to arbitration.

19. Changes

We may update these Terms. Material changes will be communicated through the app or by other reasonable means. Changes are effective when posted (or on a stated later date), and your continued use after that constitutes acceptance.

20. General; Apple and Google Terms

These Terms and the Privacy Policy are the entire agreement between you and YourTime regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Our failure to enforce a provision is not a waiver. Notices to you may be provided in-app or by email.

Apple-specific terms: These Terms are between you and YourTime, not Apple. Apple is not responsible for the Service or its content and has no obligation to provide support or any warranty; Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You represent that you are not located in a U.S.-embargoed country or on a U.S. prohibited-party list, and you will comply with the App Store Terms of Service.

Google-specific terms: These Terms are between you and YourTime, not Google. If you download the app from Google Play, Google is not responsible for the Service or its content and has no obligation to provide support for it.
